Terms of Service

1. Acceptance of Terms

Welcome to Uhmegle! These Terms of Service (“Terms”) govern your access to and use of the Uhmegle website, mobile applications, software, and related services (collectively, the “Service”) provided by Uhmegle (“Uhmegle,” “we,” “us,” or “our”), [Insert Full Legal Entity Name Here], based in Bhavnagar, Gujarat, India.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy [Link to Privacy Policy], which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.  

PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING VARIOUS LIMITATIONS AND EXCLUSIONS, AND A CLAUSE THAT GOVERNS THE JURISDICTION AND VENUE OF DISPUTES. 

2. Eligibility

You must be at least 12 years old (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this agreement. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. You are responsible for ensuring your use of the Service complies with all laws applicable to you.

3. Service Description

Uhmegle provides a platform for real-time video communication, allowing users to connect with others globally for various purposes, including casual chat, group discussions, professional meetings, and content creation. Features may include one-on-one video chat (with options for random matching or country selection), group video calls, screen sharing, interactive tools (like virtual backgrounds, polls), recording capabilities, and social integrations.

We reserve the right to modify, suspend, or discontinue the Service (or any part or feature thereof) at any time, with or without notice.

4. User Accounts

While some parts of the Service may be accessible without an account, certain features may require registration. If you create an account, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security of your password and account credentials.
  • Accept full responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

5. User Conduct and Community Guidelines

You are solely responsible for your conduct and any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links, and other content or materials (collectively, “Content”) that you submit, post, display, or transmit on or via the Service.

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Engage in any activity that is illegal, harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, pornographic, vulgar, or otherwise objectionable.
  • Transmit or display nudity or sexually explicit content.
  • Promote or incite violence, hatred, discrimination, or harm against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
  • Harm or exploit minors in any way.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.  
  • Transmit spam, chain letters, or other unsolicited communications.
  • Infringe upon or violate the intellectual property rights (including copyrights, trademarks, patents, trade secrets) or any other rights (including privacy and publicity rights) of any third party.
  • Distribute viruses, worms, malware, or any other destructive or harmful code.
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
  • Attempt to gain unauthorized access to the Service, user accounts, or computer systems or networks connected to the Service.  
  • Use the service for any commercial solicitation purposes not explicitly approved by Uhmegle.

We reserve the right, but have no obligation, to monitor user conduct and Content. We may remove any Content and suspend or terminate your account for violating these Terms or our Community Guidelines [Link to Community Guidelines – Highly Recommended] at our sole discretion, without prior notice.

6. User Content

You retain ownership of the Content you create and share on the Service. However, by submitting, posting, or displaying Content on or through the Service, you grant Uhmegle a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, cache, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Content solely for the purposes of operating, providing, developing, promoting, and improving the Service and researching and developing new ones. 

You represent and warrant that: (i) you own the Content posted by you on or through the Service or otherwise have the right to grant the rights and licenses set forth in these Terms; (ii) the posting and use of your Content on or through the Service does not violate, misappropriate or infringe on the rights of any third party, including, without limitation, privacy rights, publicity rights, copyrights, trademark and/or other intellectual property rights; and (iii) you agree to pay for all royalties, fees, and any other monies owed by reason of Content you post on or through the Service.  

7. Monetization: Free and Premium Services

  • Free Service: Uhmegle offers a basic version of the Service free of charge, which may include advertisements.
  • Premium Services: We may offer paid subscription plans (“Premium Services”) or one-time purchases (like virtual goods) with enhanced features. Terms specific to Premium Services (including fees, billing cycles, cancellation policies, and refund policies – which may be limited or non-existent) will be presented to you before you subscribe or purchase.
  • Payments: Payments for Premium Services are processed through third-party payment processors. You agree to abide by their terms and conditions. We do not store your full payment card details.
  • Virtual Goods: Any virtual items purchased have no real-world monetary value, are non-transferable, and generally non-refundable.

8. Intellectual Property Rights

  • Uhmegle IP: The Service and its original content (excluding Content provided by users), features, functionality, software, text, graphics, logos, and icons are and will remain the exclusive property of Uhmegle and its licensors. The Service is protected by copyright, trademark, and other laws of both India and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Uhmegle. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. 
  • Copyright Infringement: We respect the intellectual property rights of others. We will respond to notices of alleged copyright infringement that comply with applicable law (such as the Digital Millennium Copyright Act in the U.S. or relevant provisions under Indian Copyright Act). If you believe your work has been copied in a way that constitutes copyright infringement, please provide our designated Copyright Agent with the required information.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. 

UHMEGLE DOES NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURELY, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.  

YOU ACKNOWLEDGE AND AGREE THAT UHMEGLE DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR THE CONDUCT OF OTHER USERS ON THE SERVICE. YOU USE THE SERVICE AND INTERACT WITH OTHER USERS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UHMEGLE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING OTHER USERS; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. 

IN NO EVENT SHALL UHMEGLE’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO UHMEGLE, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Uhmegle and its affiliates, licensors, directors, officers, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of (a) your use and access of the Service, by you or any person using your account; (b) a breach of these Terms; (c) your User Content; or (d) your violation of any law or the rights of a third party.  

12. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. If you are using the Service from outside India, be aware you are responsible for compliance with local laws.  

  • Jurisdiction/Venue: You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the competent courts located in Bhavnagar, Gujarat, India, and you irrevocably consent to the jurisdiction of such courts.  

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect (e.g., via email, in-app notification, or posting on the website). What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service. 

14. Termination

  • By You: You may terminate your agreement to these Terms at any time by deleting your account (if applicable) and discontinuing use of the Service.
  • By Uhmegle: We may suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately, particularly if we believe you have violated these Terms or our Community Guidelines.  
  • Effect of Termination: Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability).
